1. Acceptance of Terms

By accessing or using the website callgenius.ca or any services provided by CallGenius Solutions Inc. (“CallGenius”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

CallGenius provides AI-powered voice automation services designed to help businesses manage inbound calls, qualify leads, book appointments, and automate customer interactions. Our services are provided on a subscription basis following a custom onboarding and setup process.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of your business to use our services. By using our services, you represent that you meet these requirements.

4. Account and Access

Access to CallGenius services is granted following a consultation and agreement process. You are responsible for maintaining the confidentiality of any credentials or access provided to you and for all activity that occurs under your account.

5. Fees and Payment

Our services include a one-time setup fee and a recurring monthly subscription as agreed upon in your service agreement. Additional usage beyond the included minutes is billed at the per-minute rate specified in your plan. All fees are due as per the payment terms in your service agreement. Failure to pay may result in suspension of services.

6. Cancellation and Refunds

All plans include a 14-day risk-free setup period with a full money-back guarantee. After this period, monthly subscription fees are non-refundable. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle. Setup fees are non-refundable after the risk-free period.

7. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Engage in fraudulent, deceptive, or misleading practices
• Harass, threaten, or harm individuals
• Transmit unsolicited commercial communications (spam)
• Interfere with or disrupt the integrity or performance of our systems
• Reverse engineer, copy, or misappropriate our technology or AI models

We reserve the right to suspend or terminate your access for violations of this section.

8. Intellectual Property

All content, technology, and materials on our website and within our services — including but not limited to software, AI models, text, graphics, and logos — are the property of CallGenius Solutions Inc. or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

9. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, CallGenius Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages. Our total aggregate liability shall not exceed the fees paid by you in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CallGenius Solutions Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Montreal, Quebec.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms with a new effective date. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.
